Welcome to Intelycx. These Terms and Conditions ("Terms") govern your use of the website www.intelycx.com and the services provided by Intelycx ("we," "us," "our," or "Company"), including Intelycx CORE (machine connectivity and real-time analytics platform), Intelycx ARIS (AI-powered manufacturing assistant), and Intelycx NEXACTO (AI-driven visual inspection system). By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

1. Acceptance of Terms

By using our website and services, you confirm that you are at least 18 years old and possess the legal capacity to enter into a binding agreement. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that you have obtained all necessary approvals from your organization's management before proceeding.

2. Description of Services

Intelycx provides AI-driven manufacturing solutions designed to optimize production efficiency, quality control, and operational insights:

Intelycx CORE is a machine connectivity and real-time analytics platform that collects operational data from manufacturing equipment, provides performance monitoring, and generates actionable insights for production optimization.

Intelycx ARIS is an AI-powered manufacturing assistant that analyzes operational data and provides recommendations for process improvement, resource allocation, and predictive maintenance. ARIS uses machine learning to continuously improve recommendation accuracy based on your operational patterns.

Intelycx NEXACTO is an AI-driven visual inspection system that uses computer vision technology to automate quality control processes, detect defects, and maintain production consistency.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to customers. Material changes to service functionality will be communicated at least 30 days in advance so you have adequate time to evaluate the impact on your operations.

3. Service Availability and Limitations

Intelycx aims to maintain 99.5% uptime for our platform services, measured on a monthly basis. This availability target excludes scheduled maintenance windows and events beyond our reasonable control, such as natural disasters, internet service provider outages, or third-party service failures. We may perform scheduled maintenance with advance notice, and we will make reasonable efforts to schedule maintenance during low-usage periods to minimize disruption to your operations. In the event of unplanned service interruptions, we will work to restore service as quickly as possible and will provide status updates through our status page. While we strive for high availability, we cannot guarantee uninterrupted service. Your continued use of our services acknowledges this limitation and our commitment to best-effort restoration.

4. Intellectual Property Rights

All content on our website and within our services, including text, graphics, logos, images, software, algorithms, machine learning models, and the arrangement thereof, is the property of Intelycx or its licensors and is protected by intellectual property laws, including copyrights, patents, and trade secrets.

Your License

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our website and services for your internal business purposes, subject to these Terms and your service agreement.

Restrictions

You may not:

  • Copy, modify, or distribute any part of our website or services without our prior written consent

6. AI and Machine Learning Limitations

Intelycx ARIS and NEXACTO use artificial intelligence and machine learning technologies to provide enhanced functionality. You acknowledge and agree to the following important limitations:

AI Recommendations and Predictions

AI-generated recommendations, predictions, and insights are based on historical data and machine learning models rather than deterministic algorithms. These recommendations are provided to support human decision-making, not to replace human judgment or expertise. Recommendations may not account for all variables or unforeseen circumstances and should be validated by qualified personnel before implementation. Recommendations are not guaranteed to be accurate or optimal for your specific situation, and outcomes may vary based on factors outside our control.

Continuous Model Updates

Our AI models continuously learn from data and may be updated to improve accuracy and performance. This means recommendations may change over time as models are refined, model updates may affect historical comparisons or predictions, and we will notify you of material changes to how recommendations are generated.

Computer Vision Limitations (NEXACTO)

NEXACTO uses computer vision for quality inspection. You acknowledge that computer vision systems may have detection limitations based on lighting conditions, camera angles, and product characteristics. NEXACTO is designed to supplement, not replace, human quality control processes. Detection accuracy depends on proper system configuration and calibration, and we recommend periodic validation of NEXACTO results against manual inspection to ensure continued accuracy.

Data Quality Dependency

The accuracy of all AI-driven services depends fundamentally on the quality of input data. We are not responsible for inaccurate recommendations resulting from:

  • Incomplete or incorrect data provided by you
  • Misconfigured data collection or integration
  • Equipment malfunctions or sensor failures
  • Data corruption or transmission errors

You are responsible for ensuring data quality and proper system configuration.

7. Data Ownership and Usage

You retain all ownership rights to operational data, production data, and other information you provide to us ("Customer Data"). You grant us the right to process and analyze Customer Data to provide services as specified in your service agreement, use anonymized and aggregated data to improve our services and AI models, and retain anonymized data for service improvement and analytics purposes. You may opt out of having your data used for AI model improvement while maintaining full access to core service functionality. Upon termination of your service agreement, we will delete or return your Customer Data within 30 days, unless legally required to retain it for compliance purposes.

8. Third-Party Links and Integrations

Our website may contain links to third-party websites or services that are not owned or controlled by Intelycx. We are not responsible for the content, privacy policies, security practices, or availability of any third-party websites or services. Your access to third-party websites is at your own risk and subject to their terms and conditions. If you integrate our services with third-party systems or platforms, you are responsible for ensuring compliance with those platforms' terms and conditions and for maintaining appropriate data security throughout the integration.

9. Warranty Disclaimer

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. INTELYCX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES OF ACCURACY, COMPLETENESS, OR RELIABILITY
  • WARRANTIES THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY FUNCTIONAL

We do not warrant that AI-generated recommendations will be accurate or optimal for your specific situation, that machine learning models will perform consistently across all scenarios, that computer vision systems will detect all defects or anomalies, or that services will meet your specific business requirements. While we provide customer support, we do not guarantee response times or resolution of all issues. Some issues may require investigation or may be beyond our control to resolve.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, INTELYCX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM:

  • Your use of or inability to use our website or services
  • Any unauthorized access to or use of our servers and/or any personal or operational information stored therein
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or harmful code transmitted through our services
  • Any errors or omissions in our content or services
  • Any third-party content or services accessed through our website
  • Any reliance on AI-generated recommendations or insights
  • Any defects in quality control or inspection results

IN NO EVENT SHALL INTELYCX'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. If you have not paid any fees, our liability shall not exceed $100.

Exceptions: These limitations do not apply to your indemnification obligations, either party's confidentiality obligations, either party's intellectual property rights, gross negligence or willful misconduct, or claims that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Intelycx, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of our website or services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party intellectual property rights
  • Your provision of inaccurate, incomplete, or misleading information
  • Any Customer Data you provide to us
  • Your negligence or willful misconduct

12. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information only for purposes of performing obligations or exercising rights under these Terms. Confidential information does not include information that is publicly available through no breach of this agreement, independently developed without reference to the other party's confidential information, or rightfully received from a third party without confidentiality obligations.

13. Term and Termination

Your use of our website and services is governed by your service agreement. If no service agreement exists, these Terms remain in effect for as long as you use our services. You may terminate your service agreement by providing written notice as specified in your service agreement.

We may terminate or suspend your access to our services if:

  • You materially breach these Terms and fail to cure the breach within 30 days of written notice
  • You engage in illegal activity or violate applicable laws
  • You violate our acceptable use policy
  • You fail to pay fees as required

Upon termination, your right to use our services ceases immediately. We will delete or return your Customer Data within 30 days unless legally required to retain it for compliance or legal proceedings.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware. You consent to the exclusive jurisdiction and venue of these courts. Before initiating legal proceedings, we encourage you to contact us to attempt to resolve any disputes informally through good-faith negotiation.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. For material changes, we will provide at least 30 days' advance notice. Your continued use of our website or services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue your use of our services.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect, and the severed provision shall not affect the validity of the remaining Terms.

17. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Intelycx regarding your use of our website and services. These Terms supersede all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter of these Terms.

Intelycx CORE

Intelycx CORE collects real-time operational data from manufacturing equipment as configured by you through our platform settings. Machine data is retained according to your configuration preferences, typically ranging from 12 to 36 months depending on your storage needs and compliance requirements. You are responsible for ensuring proper integration with your equipment and systems, including correct sensor calibration and network connectivity. Data accuracy depends on proper sensor calibration and equipment functionality, and you should perform periodic validation to ensure data quality.

Intelycx ARIS

Intelycx ARIS provides recommendations based on machine learning analysis of your operational data. These recommendations are not guarantees of outcomes and should be reviewed by qualified personnel before implementation. AI models are continuously updated to improve accuracy, which means recommendations may change over time as models are refined and learn from additional data. You may disable specific AI features while maintaining access to core analytics and reporting functionality if you prefer not to use certain automated recommendation systems.

Intelycx NEXACTO

Detection accuracy in NEXACTO depends on proper system configuration, including camera placement, lighting conditions, and product characteristics. NEXACTO is designed to supplement human quality control processes, not replace them entirely. We recommend periodic validation of NEXACTO results against manual inspection to ensure continued accuracy and to identify any system recalibration needs. NEXACTO learns from inspection data to improve accuracy over time, and system performance typically improves as it processes more data from your specific manufacturing environment.
